These Terms of Service ("Terms") govern your access to and use of the DirectOD platform (the "Platform") and any associated websites, mobile applications, software tools, and services (collectively, the "Service"). These Terms also cover all content, materials, documents, text, graphics, reports, and other information made available through the Service ("Content"). The Service is owned and operated by DirectOD LLC ("Company", "we", "our", or "us").

These Terms apply to you as an employee, contractor, or authorized user of an independent eye care practice or similar entity (the "Customer Entity") that has entered into a separate agreement with DirectOD for the use of its membership plan services (the "Customer Agreement"). In the event of a conflict between these Terms and the Customer Agreement, these Terms govern your personal use of the Service.

By accessing or using the Service, you confirm that you are authorized to do so and agree to be bound by these Terms. If you do not agree or are not authorized, do not use the Service.

1. Purpose and License
We grant you a revocable, non-exclusive, non-transferable license to access and use the Service solely on behalf of your practice and only in accordance with these Terms and the Customer Agreement. We may revoke access at any time for any reason.

If you provide feedback or suggestions related to the Service, you give us permission to use that feedback without restriction or compensation.

2. Privacy
Your use of the Service is subject to our Privacy Policy, which outlines how we collect, use, and protect your data. By using the Service, you agree to the Privacy Policy.

3. Acceptable Use

You agree not to:

  • Violate any law or regulation

  • Infringe intellectual property or proprietary rights

  • Access systems or data not intended for you

  • Upload malicious code or compromise security

  • Use bots or automation to extract data

  • Impersonate any person or entity

  • Use the Service to create a competing product

You may access Plan Information related to your practice for internal use, including membership rosters, financial reports, and plan performance metrics.

4. Payment Processing
All financial transactions and practice payouts are securely processed through JP Morgan Chase Bank. You authorize us to share necessary payment data with our banking partner. We are not liable for errors made by financial institutions.

5. Intellectual Property
All rights, title, and interest in the Service and Content belong to DirectOD or our licensors. You may not copy, reproduce, distribute, or modify the Service or Content without written permission, except for your own internal use of authorized data.

6. Changes
We may update or modify the Service at any time. We may also revise these Terms, and continued use of the Service means you accept the new version. If you do not agree to the changes, you must stop using the Service.

7. No Warranties
The Service is provided “as is” without any warranty, express or implied. We do not guarantee error-free operation or uninterrupted access. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill. Total liability is limited to $100.

9. Third-Party Links
Our Service may include links to third-party websites or tools. We are not responsible for the content or policies of those services. Use them at your own risk.

10. Indemnification
You agree to defend, indemnify, and hold DirectOD harmless from claims, damages, or losses resulting from your use of the Service or violation of these Terms.

11. General Terms
If any provision of these Terms is found invalid, the remaining terms remain enforceable. These Terms do not create a joint venture or agency relationship. You may not assign your rights under these Terms without written consent.

The governing law, dispute procedures, and legal notices described in your Customer Agreement also apply to these Terms.

DirectOD Vision Membership Plans are NOT insurance. Members pay a monthly or annual fee directly to participating eye care providers in exchange for access to discounted services, benefits, and product savings as outlined in the provider’s custom membership plan. Members are responsible for paying their provider directly for any services or products received beyond the plan’s benefits. Plan features, pricing, and savings may vary by provider and location — please refer to your provider’s specific plan terms for full details. Vision membership plans offered through DirectOD do not qualify as insurance under the Affordable Care Act and do not satisfy minimum essential coverage requirements. DirectOD is not an insurance company, and does not pay or reimburse providers for services rendered. DirectOD exclusively supports eye care and does not operate in any other medical field or acknowledge outside industry technologies attempting to operate in the eye care industry .
